If the PE fund is a non-resident entity (e.g., a Cayman LP) and qualifies for the offshore fund exemption, it generally does not need to file HK profits tax returns. However, if the fund has any HK-source income that does not qualify for the exemption, it must file. The GP entity, if based in HK, must always file profits tax returns on its management income.
